1. The Service
SwiftChecklist is a client onboarding platform that lets you:
- Create checklists to collect information
- Send magic links to clients (no login required)
- Review and manage client submissions
- Store and organize client data
- Exchange files with clients ad-hoc through the shared file exchange (independent of checklist fields)
- Optionally protect client portal access with a passcode (enabled per client at your discretion)
We also provide free tools accessible without an account, including document checklist builders, calculators, invoice generators, and AI-powered business tools. These tools are subject to the terms below.
Free Tools and AI-Powered Features
SwiftChecklist offers free tools (such as the Client Document Checklist Builder, Client Onboarding Time Calculator, Invoice Generator, Payroll Calculator, Business Health Check, and Business Name Generator) that may be used without creating an account. By using any free tool, you agree to these Terms.
General Disclaimers for All Free Tools
- All free tools are provided "as is" without warranty of any kind, express or implied
- Tool outputs are for informational and planning purposes only and do not constitute professional, legal, financial, tax, or accounting advice
- You are solely responsible for verifying the accuracy and suitability of any tool output before relying on it for business or personal decisions
- We are not liable for any loss, damage, or adverse outcome resulting from your use of or reliance on tool outputs
Invoice Generator
Invoices generated by the Invoice Generator tool are not legal, financial, or tax documents. They are templates provided for convenience only. You are responsible for ensuring any invoice you use complies with applicable invoicing, tax, and record-keeping requirements in your jurisdiction. SwiftChecklist does not verify the accuracy of any amounts, tax calculations, or details entered.
Payroll Calculator
The Payroll Calculator provides estimates only based on publicly available federal tax brackets and standard deduction rates. Results do not account for all individual circumstances, state-specific rules, local taxes, deductions, credits, or employer-specific policies. Do not use these estimates as a substitute for professional payroll services, tax advice, or official tax filings.
Business Name Generator
Business name suggestions are generated for inspiration only. SwiftChecklist does not guarantee that any suggested name is available, free from trademark conflicts, or suitable for registration. You are solely responsible for conducting trademark searches (e.g., via the USPTO, EUIPO, or other relevant authorities), verifying domain availability, and obtaining appropriate legal clearance before using any suggested name.
AI-Powered Tools
Certain free tools (including the Business Health Check and Business Name Generator) use third-party artificial intelligence services to generate content. Regarding AI-generated outputs:
- AI-generated content may be inaccurate, incomplete, or unsuitable for your specific situation
- You must independently verify all AI-generated recommendations, scores, and suggestions before acting on them
- SwiftChecklist does not endorse, guarantee, or assume responsibility for any AI-generated output
- Anonymized or summary inputs may be transmitted to third-party AI providers (currently Groq) to generate results — see our Privacy Policy for details
- AI-powered free tools display an in-context processing notice before you submit inputs for AI generation
- AI providers may process inputs according to their own terms and privacy policies
No Data Storage for Free Tools
Free tools are designed to operate client-side. We do not store, retain, or log the inputs you enter or the outputs generated, except where data is transiently sent to a third-party AI provider to generate a result (as described above). Downloaded files are generated in your browser and are not uploaded to our servers.
2. Eligibility
To use SwiftChecklist, you must:
- Be at least 18 years old
- Use SwiftChecklist for business or professional purposes, not personal, household, or child-directed use
- Have authority to create an account or workspace on behalf of the firm, company, or organization you identify
- Provide accurate account information
- Comply with all applicable laws
3. Your Account
Account Security
- You're responsible for keeping your password secure
- You're responsible for all activity under your account
- Notify us immediately if your account is compromised
- If you enable the optional portal passcode system for a client, you are responsible for choosing whether to use the feature and for securely delivering setup instructions to that client. SwiftChecklist remains responsible for the security of the passcode feature as provided by us.
Account Rules
- One account per person or business
- Provide accurate information
- Keep your information up to date
- Don't share your account credentials
Workspace Ownership Disputes
If a workspace is created for a firm, company, or other organization, the organization may be treated as the rightful owner of that workspace and its data. If ownership or administrator authority is disputed, we may request business registration records, domain ownership proof, billing records, engagement documents, or other evidence. We may suspend, preserve, or transfer workspace access based on the evidence available to us, without liability to the maximum extent permitted by law.
4. Pricing and Billing
Trials and Free Access
SwiftChecklist may offer free trials, free tiers, or promotional access. Trial and free-tier limits are shown in the application, pricing page, or checkout flow and may change with notice where required by law.
When Billing Starts
Free Plan:
- Limited features (see pricing page)
- No credit card required
- No guarantee of availability
Paid Plans:
- Monthly or annual billing
- Billed in advance
- Payment via Stripe
- Automatically renews unless canceled
- You must dispute SwiftChecklist subscription charges within 30 days after the charge date, except where applicable law gives you additional rights
Changes
- We may change prices with 30 days notice
- Existing subscriptions: changes apply at renewal
- Continued use after price change = acceptance
Cancellation
- Cancel anytime in account settings
- Cancellation takes effect at end of billing period
- No pro-rated refunds for partial months
- New subscribers may request a full refund within 14 days of their first payment if the service does not meet expectations
- Any refund window stated at checkout controls over older marketing or documentation copy
Failed Payments
- We'll notify you and retry
- Service may be suspended after 7 days
- Account may be deleted after 30 days
5. Acceptable Use
You May:
- Use the service for legal client onboarding
- Collect information you have legitimate right to collect
- Store client data securely
- Share magic links with intended recipients
You May Not:
- Use the service for anything illegal
- Collect data without proper consent
- Send spam or unsolicited messages
- Upload malware or malicious content
- Attempt to hack or breach security
- Impersonate others
- Harass or abuse others
- Scrape or copy the service
- Share your account with others
- Resell the service without permission
- Use payment features for card testing, invoice fraud, money laundering, prohibited businesses, or transactions that Stripe or SwiftChecklist reasonably considers high risk
- Violate sanctions, export-control, anti-money-laundering, anti-bribery, anti-corruption, or payment-network rules
- Use AI features for legal, financial, employment, credit, housing, medical, insurance, immigration, or similarly material decisions about individuals without qualified human review and legally required safeguards
Violations may result in:
- Content removal
- Account suspension or termination
- Legal action if necessary
- Report to law enforcement
6. Your Content and Data
What You Own:
- Checklists you create
- Client data you collect
- Files you upload
- Custom branding
License You Grant Us:
You give us permission to:
- Store and display your content
- Process it to provide the service
- Make backup copies
- Show it to your authorized users only
This license ends when you delete your content or account.
Your Responsibilities:
You represent that:
- You own or have rights to all content you submit
- Your content doesn't violate laws or others' rights
- You have consent to collect client data
- You'll comply with privacy laws (GDPR, CCPA, etc.)
7. Client Data and Compliance
Important for Business Users:
When collecting client data:
- You are the data controller
- We are the data processor
- You must have legal basis to collect data
- You must inform clients how their data will be used
- You must comply with applicable privacy laws
- You're responsible for responding to client data requests
We provide the tools; you're responsible for using them legally.
Platform Role and Client Matters
SwiftChecklist provides software tools for professional-service workflows. We are not a party to any engagement letter, service agreement, invoice, client payment, signature transaction, professional advice relationship, or dispute between you and your clients, signers, payors, team members, or other third parties.
- You are responsible for your professional services, advice, deadlines, deliverables, client communications, fees, and compliance obligations
- We do not verify the legal capacity, identity, accuracy, completeness, suitability, or authority of any client, signer, file, checklist response, message, payment request, or document
- Disputes between firms and clients are solely between those parties, and you release SwiftChecklist from claims arising from those underlying relationships to the maximum extent permitted by law
8. Intellectual Property
Our Property:
- The SwiftChecklist platform, code, and design
- Our logo, name, and branding
- All related intellectual property
You may not:
- Copy or modify our code
- Use our branding without permission
- Create competing products based on our service
9. Service Availability
Service Level:
- We aim for high availability but don't guarantee uptime
- We may perform maintenance with or without notice
- Features may change or be discontinued
- Free accounts have no service level guarantee
We're not liable for:
- Service interruptions
- Data loss (though we make backups)
- Third-party service failures
Your responsibility:
- Keep your own backups of important data
- Don't rely solely on our service for critical operations
10. Third-Party Services
We integrate with:
- Stripe (payments)
- Supabase (database)
- Email providers
- Analytics services
- Groq (AI content generation and document processing)
- Security, rate-limiting, and operational infrastructure providers
- Certain customer-enabled storage destinations, such as Google Drive or Dropbox, and Microsoft 365 / SharePoint in limited or configured environments
These services have their own terms and privacy policies. We're not responsible for third-party service issues. When you use AI-powered features (including free tools), data may be processed by third-party AI providers subject to their terms.
File Exchange and Cloud Storage Sync: If you enable a supported cloud storage connection, copies of files shared with clients through the file exchange may be transmitted to that provider. Availability varies by integration. You are responsible for informing your clients of any third-party storage you direct us to use and for obtaining any consent required under applicable privacy laws before enabling the feature.
Payment Processing: Payment requests are paid to the firm or connected Stripe account identified in the checkout flow. Stripe processes payments and card data. SwiftChecklist facilitates the request and portal experience but is not the payee, merchant of record, or professional-service provider for your client engagement unless expressly stated in a separate written agreement. You are responsible for refunds, chargebacks, reversals, payment disputes, taxes, payment descriptions, and invoices associated with payments you request or receive through Stripe Connect. We may suspend payment features if Stripe, a card network, a bank, a regulator, or our own risk review indicates that activity may be fraudulent, unlawful, high-risk, or inconsistent with these Terms.
11. Termination
You can cancel anytime
by:
- Deleting your account in settings
- Emailing support@swiftchecklist.com
We may suspend or terminate your account if:
- You violate these terms
- You fail to pay fees (paid plans)
- Required by law
- We discontinue the service
After termination:
- You lose access immediately
- Account and workspace deletion is permanent and cannot be reversed — deleted data cannot be recovered
- You are responsible for exporting any data you wish to keep before deleting; export tools are available in your account
- After deletion we permanently delete your content and retain only audit logs and records we are legally required to keep, as described in our Privacy Policy
- This includes your signed documents — we keep only cryptographic signing evidence (hashes, signer identity, timestamps, consent), not the signed files or signature images themselves, and they cannot be regenerated; export any you may need to produce later before deleting
- Unpaid fees remain due
12. Disclaimers
The service is provided "as is" without warranties.
We don't guarantee:
- Uninterrupted service
- Error-free operation
- That it meets your specific needs
- Complete security (though we try)
- Data accuracy
- Legal validity or enforceability of every electronic signature in every jurisdiction or for every document type
We're not responsible for:
- Your use of the service
- Client data you collect
- Decisions you make based on the service
- Third-party services or content
- Firm-client disputes, professional-services outcomes, payment disputes, or client reliance on your checklists, documents, or communications
Professional Services Disclaimer
SwiftChecklist is a software tool, not a professional services provider. Nothing in this service — including checklists, templates, calculators, AI-generated recommendations, or any other tool output — constitutes legal, accounting, tax, financial, or other professional advice. You should consult qualified professionals for advice specific to your situation. SwiftChecklist expressly disclaims all liability for actions taken or not taken based on any content or output from the service.
AI Features
AI-generated output may be inaccurate, incomplete, non-unique, or unsuitable. You are solely responsible for reviewing and validating AI output before using it. Do not submit highly sensitive, privileged, special-category, or regulated data to AI prompts unless you have confirmed that such processing is lawful and appropriate.
13. Limitation of Liability
To the maximum extent permitted by law:
We're not liable for:
- Indirect or consequential damages
- Lost profits or data
- Business interruption
- Personal injury (except where law requires)
Maximum liability:
- Cannot exceed the fees you paid in the past 30 days
- Or $100 if you haven't paid any fees
This doesn't limit liability for:
- Fraud or intentional misconduct
- Gross negligence
- Death or personal injury caused by our negligence
- Anything that can't be limited by law
14. Indemnification
You agree to defend us against claims arising from:
- Your use of the service
- Your content or client data
- Your violation of these terms
- Your violation of laws or others' rights
- Your failure to confirm that the platform's e-signature method meets the legal requirements of your jurisdiction — you are solely responsible for this determination
15. Disputes
If there's a problem:

- We'll try to resolve it informally
If we can't resolve it:
For small claims:
- Either party may file an eligible individual claim in small claims court
For larger claims:
- Governed by the laws of the Province of Ontario, Canada
- Resolved through individual binding arbitration administered by the ADR Institute of Canada, except for claims that applicable law does not permit to be arbitrated and except that either party may seek injunctive relief for misuse of intellectual property or confidential information
- You may opt out of arbitration within 30 days after first accepting these Terms by emailing legal@swiftchecklist.com with your name, account email, mailing address, and clear statement that you opt out of arbitration
- Each party pays own legal fees unless court orders otherwise
- Any claim must be brought within one year after it arises, unless applicable law requires a longer period
No class actions:
- All disputes must be brought individually
- No class action lawsuits or class arbitrations
16. General Terms
Entire Agreement:
These Terms and our Privacy Policy are the complete agreement.
Changes:
We may update these Terms. Material changes will be communicated via email or in-app notice, and we may require renewed in-app acceptance before continued access to affected product areas. Continued use after changes take effect means you accept the updated Terms.
Severability:
If any term is unenforceable, the rest remains in effect.
No Waiver:
Our failure to enforce a term doesn't waive our right to enforce it later.
Assignment:
You can't transfer your rights. We can assign ours (e.g., if we're acquired).

Law-enforcement, subpoena, and civil legal requests should be directed to legal@swiftchecklist.com. If you believe content on the service infringes your copyright or other intellectual property rights, contact support@swiftchecklist.com with enough detail for us to investigate. We may remove infringing content and terminate repeat infringers where appropriate.
17. Beta and Preview Features
Beta or preview features:
- May be incomplete, experimental, or changed without notice
- No service level guarantees
- We may request feedback
- May be suspended or discontinued at any time
- Are provided as-is, with all faults, to the maximum extent permitted by law
By using SwiftChecklist, you agree to these terms. If you don't agree, please don't use the service.
